Terms of Service

Scope of services. — The Wild Click will provide the services described in the applicable proposal, service plan, or Statement of Work accepted by the client. Any services, deliverables, revisions, or additional work outside the agreed scope may be subject to a separate quotation and written approval.

Payment. — Fees, billing frequency, payment terms, and applicable taxes will be specified in the relevant proposal, agreement, or invoice. Unless otherwise agreed in writing, invoices are payable within the stated payment period. The Wild Click reserves the right to suspend or pause services where undisputed payments remain overdue.

Intellectual property. — Subject to full payment of all applicable fees, the client will receive the rights to the final creative deliverables specifically created for the client under the agreed scope. Unless otherwise agreed in writing, The Wild Click retains ownership of its pre-existing materials, templates, tools, methodologies, strategic frameworks, know-how, and proprietary processes. Third-party materials remain subject to their respective licences and terms.

Confidentiality. — Both parties agree to protect confidential information received from the other party and to use it only for legitimate purposes connected with the engagement. Confidential information will not be disclosed to third parties except with appropriate authorization, where necessary to provide the agreed services, or where disclosure is required by applicable law.

Limitation of liability. — To the maximum extent permitted by applicable law, The Wild Click will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from or relating to the services. The total aggregate liability of The Wild Click arising from an engagement will, to the extent permitted by law, be limited to the fees actually paid by the client for the specific services giving rise to the claim.

Governing law. — These Terms of Service will be governed by the laws applicable to The Wild Click's principal place of business, unless otherwise agreed in a written contract with the client. The parties will first attempt to resolve any dispute through good-faith discussion. If a dispute cannot be resolved amicably, it will be subject to the courts or dispute-resolution mechanism having appropriate jurisdiction under the applicable law.

Refund & Cancellation

Cancellation notice. — Either party may terminate an ongoing service engagement by providing written notice in accordance with the applicable service agreement or Statement of Work. Unless otherwise agreed in writing, clients on monthly service plans must provide 30 days' written notice of cancellation. Any different notice period agreed in the applicable contract will take precedence. Cancellation requests must be submitted in writing, such as by email.

Fees during notice period. — All applicable service fees remain payable throughout the agreed notice period. Services and deliverables already in progress will be completed, transitioned, or otherwise handled in accordance with the agreed scope and termination arrangements.

Refunds. — Unless otherwise stated in the applicable agreement, fees for services already delivered, work already performed, or a billing period that has commenced are generally non-refundable. Advertising or media spend already authorised, committed, or paid to third-party platforms is non-refundable by The Wild Click. Any approved refund will be processed in accordance with the applicable agreement and payment provider requirements.

Immediate termination.— Either party may terminate the engagement immediately where the other party commits a material breach of the applicable agreement and fails to remedy that breach within a reasonable period after receiving written notice. Immediate termination may also apply where required by applicable law or where continuing the engagement would create a material legal, ethical, or security risk.
